Terms of Service & Refund Policy

Effective June 2026

These Terms govern website design, web-app development, and AI automation services provided by GRID LLC, a Wyoming limited liability company operating as GRID AI Web Services ("GRID," "we," "us"), to our clients ("Client," "you"). By engaging our services, requesting a quote, or paying a deposit or invoice, you agree to these Terms. Each project is also governed by the individual written Services Agreement signed for that project; where a signed Agreement and these Terms differ, the signed Agreement controls.

1. Services

GRID provides custom website design and development, custom web applications and tools, and AI automation services (including AI-powered inquiry responders, scheduling, and reporting) for small and local businesses. All services are digital and delivered remotely. Specific scope, deliverables, and price for each engagement are defined in that project's written Services Agreement.

2. Payment Terms

Unless a project's Services Agreement states otherwise:

Payments are processed securely through Stripe. We accept credit/debit cards and U.S. bank (ACH) payments. GRID does not store your full card or bank details. Prices are quoted in U.S. dollars.

3. Refund & Cancellation Policy

Deposits are non-refundable once work has begun. The deposit reserves your project slot and covers initial design, planning, and setup work that starts as soon as the deposit is received.

Either party may cancel a project at any time in writing. If you cancel, the deposit is forfeited, and any approved work completed beyond the value of the deposit will be invoiced and is due on cancellation. Any amount paid that exceeds work performed to the cancellation date will be refunded to you.

If GRID cancels a project before any work has begun, any deposit paid is refunded in full. Because our services are custom, digital, and labor-based, we do not offer refunds for completed and delivered work. If you believe an invoice or charge is incorrect, contact us within 14 days and we will review and correct any billing error promptly.

4. Revisions, Changes & Added Work

Website projects include up to 2 rounds of reasonable layout and content adjustments per page during the build. Additional pages, new features, workflows, automations, integrations, e-commerce, databases, APIs, or redesigns outside the original scope are quoted separately and must be approved in writing before that work begins.

5. Client Responsibilities

You agree to provide the logos, images, brand assets, written content, business information, and approvals needed to complete the project, and you confirm you own or have the rights to all materials you provide. Delays in providing materials or feedback may delay the timeline. If you are unresponsive for 14 consecutive days, GRID may pause the project; resuming may require a $95 restart fee and rescheduling.

6. Support Included

Website projects include a defined period of launch support (typically 3 months) after the site goes live, covering bug fixes, DNS/form issues, and minor text or image updates. Support does not include new pages, major redesigns, new systems, automations, or new integrations unless quoted separately.

7. Hosting & Third-Party Services

Projects may be deployed on Vercel or another agreed platform. You are responsible for third-party costs such as domain registration, premium hosting, paid plugins, email services, and subscriptions. GRID is not responsible for outages, pricing changes, or interruptions caused by third-party providers.

8. Ownership

Once final payment is received in full, you own the final website content and completed files created for your project. Until then, all work product remains the property of GRID. GRID may retain copies for records and may display the work as a portfolio sample unless you request otherwise in writing.

9. Warranty & Limitation of Liability

Work is delivered "as is." GRID does not guarantee specific search rankings, traffic, leads, sales, or business results. GRID's total liability under any engagement will not exceed the total amount you paid for that engagement. GRID is not liable for indirect, incidental, or consequential damages. GRID is an independent contractor, not your employee, partner, or agent.

10. Governing Law & Disputes

These Terms are governed by the laws of the State of Wyoming. The parties will first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice. If unresolved, the dispute will be settled by binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules before one arbitrator seated in Wyoming (which may be conducted by video). Either party may bring a claim in small claims court, and GRID may seek a court order to collect unpaid fees or protect its intellectual property. The prevailing party is entitled to recover reasonable attorneys' fees and costs.
